Law firm’s hand in £1.5 billion purchase of engineering firm

LAW firm Carey Olsen has advised Colfax UK Holdings Ltd on its £1.528 billion acquisition of Charter International plc.

The deal is believed to be the largest transaction of its kind undertaken through a Jersey scheme of arrangement – a court-approved agreement between a company and its shareholders – with an estimated value of £1.528 billion in cash and stock.

This was based on the closing price of $23.04 per Colfax share on 9 September last year.

Colfax UK Holdings is a subsidiary of Colfax Corporation, a US-based international industrial group listed on the New York Stock Exchange.

A Carey Olsen cross-practice team was instructed by and worked with New York law firm Skadden, Arps, Slate, Meagher & Flom.

The team included partner Guy Coltman and associate Kate McCaffrey from Carey Olsen’s corporate and finance group, partner Robert MacRae and senior associate Andreas Kistler from the firm’s litigation group.
